FCL Components Transfers All Shares of Nagano FCL Components to Transfer Its EMS Business

FCL Components Limited (Head Office: Tokyo, Japan; President and Representative Corporate Officer: Kenji Komatsu) has entered into a definitive agreement to sell the Electronics Manufacturing Services (“EMS”) business of FCL Components Limited to Meiko Electronics Co., Ltd. (Head Office: Kanagawa, Japan; President & CEO: Yuichiro Naya). Under the terms of the transaction, the EMS business first will be carved out and transferred to Nagano FCL Components Limited (Head Office: Nagano, Japan; President and Representative Director: Shinya Matsuyama), a wholly owned subsidiary of FCL Components, with the transfer of Nagano FCL Components Limited’s shares to Meiko to follow.

FCL Components operates two distinct business segments: the Relay business, which manufactures and sells relay products and holds a leading global market position in mechanical relays for industrial applications; and the EMS business, which provides a broad range of electronic products and services, including thermal printers, touch panels, keyboards and other I/O devices, wireless and sensor modules, as well as high value-add EMS solutions. Nagano FCL Components serves as a core manufacturing base for the EMS Business.

As combining the business with Meiko Electronics’ manufacturing network, technological capabilities and customer platform would accelerate the future growth of the EMS Business, FCL Components has concluded to proceed with this transaction.

Following the closing of the transaction, FCL Components will focus its management resources on the Relay business, to further enhance its corporate value by strengthening technology development and innovation. This includes expanding global presence in next-generation power architecture fields such as AI server power supplies and grid-scale energy storage system (ESS) applications, and building on proven reliability and technological expertise cultivated in mission-critical applications such as factory automation and critical communications infrastructure.

• The EMS business first will be carved out and transferred to Nagano FCL Components Limited, a wholly owned subsidiary of FCL Components, with the transfer of Nagano FCL Components Limited's shares to Meiko to follow.
